Saint Croix Web Terms of Use

These Web Terms of Use, together with the terms referenced herein (these “Terms of Use”), form an agreement between you and Saint Croix, Inc. (“Saint Croix,” “we,” “us”) governing your access to and use of www.saintcroix.com, including any content, services, features, or functionalities offered on or through such site (the “Site”).

By accessing or using the Site, you are agreeing to be bound by these Terms of Use and represent that you are at least the age of majority in the jurisdiction from which you are accessing the Site. We encourage you to read these Terms carefully before starting to use the Site. If you do not wish to be bound by these Terms or have not reached the age of majority in the applicable jurisdiction, do not use the Site.

The Site and Content

Saint Croix makes the Site available to enable shoppers to browse, choose, and purchase a wide range of quality menswear products (“Products”). The Site includes content that describes or complements the Products (the “Product Content”). Product Content is for information only. We do not warrant to the accuracy, completeness, or usefulness of the Product Content or any other information on the Site. Reliance is at your own risk, and Saint Croix disclaims all liability and responsibility arising from reliance you or any other visitor to the Site places on the Site, the Product Content, or any other information on the Site.

Saint Croix may, in our sole discretion and at any time (with or without notice), modify or delete Products, Product Content, and/or any other information or materials from the website. However, we make no guarantees that the Site is current or up to date and are under no obligation to keep the Site current or up to date. We may otherwise withdraw or amend the Site and any service, feature, or functionality provided through this Site at any time and without notice. Saint Croix will have no liability for any such withdrawals or amendments or any periods during which the Site is unavailable.

Statements on the Site by third parties do not represent the opinion or beliefs of Saint Croix and are the sole responsibility of the person making such statements.

Products

Actual Products may vary from those shown on the Site. While we take reasonable steps to ensure our depiction of Products and Product Content is accurate (including as to color and texture), the actual image you see depends on your device and settings, and Saint Croix cannot guarantee that your device will accurately display such Products or Product Content. The listing of a Product does not guarantee its availability for purchase. Saint Croix may update descriptions and prices of Products from time to time and without notice. Promotional offerings are subject to the terms and conditions communicated in connection with such offerings.

Customer Accounts

Customers may create accounts with Saint Croix to improve the shopping experience and to keep in touch with Saint Croix. By registering for an account, you agree that you are solely responsible for taking the necessary steps to be able to access the Site, ensuring that anyone that uses the Site under your account complies with these Terms, and securing your account credentials.

To create an account, you will need to provide certain information and to create a password. By creating an account, you represent that the information you have provided is complete and accurate. Your password should be kept confidential and should not be disclosed to unauthorized persons. You are responsible for all actions taken while logged in to your account. Saint Croix recommends exercising caution when accessing your account or the Site from a public device or on an unsecured network. You must notify us immediately upon becoming aware of any compromise of the security of your account or credentials.

Saint Croix may at any time and without notice or liability revoke your account or your access to the Site, including if we believe you have violated these Terms.

Online Purchases and Terms of Sale

The Site is intended, in part, to facilitate purchases by customers of Products. Purchases of Products are subject to the terms of this section.

All prices displayed on the Site are quoted in U.S. dollars. In order to enhance the shopping experience for all of our customers, we may place limits on purchases and do not, unless agreed separately, authorize the purchase of commercial quantities of the Products. We may otherwise restrict orders placed by or under the same customer account, the same payment card, and/or orders that use the same billing and/or shipping address. We reserve the right to limit, cancel, or prohibit orders that, in our judgment, appear to be placed in violation of this section or applicable law and further reserve the right to cease doing business with customers who violate this section or applicable law. We may restrict delivery to addresses within the United States or, at our election, other countries. We reserve the right without prior notice to discontinue or change specifications or prices on Products without any obligation to you. Products are available while supplies last. Your receipt of an order confirmation does not constitute Saint Croix’s acceptance of an order, and we may require further information from you before accepting an order. If a Product is listed at an incorrect price due to supplier pricing information or typographical error, Saint Croix may refuse or cancel orders placed for the product listed at the incorrect price, regardless of whether the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is canceled, Saint Croix will promptly issue a credit to the applicable card in the amount of the incorrect price. Payments processed by third-party processors (including Shopify) are subject to the further terms and conditions communicated by such processors. We recommend that you review these terms.

Items purchased online are eligible for free returns or exchanges. Items must be returned within 30 days of delivery and must be returned unwashed, unworn, and in their original condition, with tags intact.  You may return items from different orders in the same box, be sure to include all corresponding return slips or clearly mark the order numbers to avoid processing delays. Once products are received and inspected, refunds are typically processed within 5-7 business days. Refunds are issued to the original payment method used during purchase. Please note shipping is not refundable.

Intellectual Property and Content

Saint Croix Content. The Site, the Products, the Product Content, all information contained on, and all other services, features, and functionalities provided through the Site (collectively, “Saint Croix Content”) are and remain the property of Saint Croix. Saint Croix expressly reserves all right, title, and interest, including intellectual property rights, in and to the Saint Croix Content. Except as set forth expressly in these Terms, you obtain no right, title, or interest in or to the Saint Croix Content.

Subject to these Terms, Saint Croix grants you the limited right to access and use the Saint Croix Content for your personal, non-commercial use only. You may not reproduce, modify, distribute, publicly display, publicly perform, republish, download, store, or create derivative works of any Saint Croix Content. Further, and without limiting the foregoing, you may not use any photos, illustrations, or graphics separately from the accompanying text or delete or alter any trademark, copyright, or other proprietary rights notices or legends. If you would like to use any Saint Croix Content in a manner not permitted under these Terms, please reach out to us at info@saintcroix.com.

If you use the Site or any of the other Saint Croix Content beyond the scope of the express authorization in these Terms, your right to access and use the Saint Croix Content shall terminate immediately. Any such breach may also violate intellectual property or other applicable laws.

“Saint Croix” and any related names, logos, product names, designs, and slogans are trademarks of Saint Croix or its affiliates. You may not use any of the foregoing without the prior written permission of Saint Croix. Other names, logos, product names, designs, and slogans on the Site are the trademarks of their respective owners.

Your Content

Your access and use of the Site may involve the submission or posting of feedback, reviews, or other content concerning Saint Croix, the Products, and/or the Product Content (collectively, “Your Content”). Your Content may include, at your election, your personal data, which Saint Croix may process in accordance with the Privacy Notice: https://www.saintcroix.com/pages/privacy-policy. You hereby grant to Saint Croix a non-exclusive, irrevocable, perpetual, worldwide, royalty free, fully paid up, transferable and sublicensable right and license to use, reproduce, modify, perform, display, distribute, create derivative works of, and otherwise disclose to third parties Your Content for any legitimate purpose.  

 

Your Content may not:

• Contain material that is defamatory, obscene, abusive, harassing, violent, hateful, or otherwise objectionable;
• Promote sexually explicit or pornographic material, violence, or discrimination based on sex, race, national origin, religion, disability, or any other protected characteristic;
• Infringe or misappropriate any third party’s intellectual property rights;
• Violate any other legal rights (including rights to privacy and rights of publicity) of any third party;
• Impersonate any person or misrepresent your identity or your association or affiliation with any third party;
• Involve commercial activities or sales;
• Give the impression that they come from or are endorsed by any third party who has not so provided or endorsed.

By providing Your Content, you represent and warrant that (i) you own and control all rights in Your Content and have the right to grant the licenses above to Saint Croix, its affiliates, its service providers, and its and their respective licensees, successors, and assigns; and (ii) Your Content will comply with these Terms. You are solely responsible for Your Content, including its legality, reliability, accuracy, and appropriateness. Saint Croix shall have no responsibility for or liability in respect of Your Content or any other user’s content.

Copyright

Saint Croix respects the intellectual property of others and expects our users and customers to do the same. As part of making the Site available, Saint Croix will take reasonable measures to identify and remove infringing material and to terminate Site access by or accounts of known or repeat infringers. If you believe that copyrighted material is being used on the Site without proper authorization, please notify us as soon as possible at info@saintcroix.com, providing at least the information set forth in 17 U.S.C. § 512(c). 

Your Privacy

Your access to and use of the Site involves processing of your personal data by Saint Croix and certain third parties. This processing is described in our Privacy Notice.

Prohibited Uses

Without limiting anything else in these Terms, when accessing or using the Site, you may only use the Site for lawful purposes and specifically may not use the Site:

• In a way that does or is reasonably likely to violate local, state, federal, international, or supranational law or regulation;
• For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content or requesting personal data;
• To transmit or procure the transmission of any advertising or promotional material without Saint Croix’s prior written consent;
• To send, receive, upload, download, use, or re-use any material which does not comply with the content standards described in “Intellectual Property and Content” above;
• To impersonate or attempt to impersonate Saint Croix or any of its personnel;
• To engage in any other conduct that restricts or otherwise adversely affects another user’s use or enjoyment of the Site; or
• In any other way that violates or could reasonably be expected to violate these Terms.

Further, you may not:

• Use any robot, spider, or other automatic device, process, or means to access the Site for any purpose, including monitoring or copying of any content on the Site;
• Use any manual process to monitor or copy any content on the Site or for any other purpose not authorized under these Terms;
• Use any device, software, or other mechanism that interferes with the proper functioning of the Site;
• Introduce any viruses, worms, trojan horses, logic bombs, or other malicious or harmful code;
• Gain or attempt to gain unauthorized access to, or interfere with or damage, the Site, any server on which the Site is hosted, or any server, device, or database connected to the Site;
• Attack the site via denial-of-service attack or distributed denial of service attack; or
• Otherwise attempt to interfere with the proper functioning of the Site.

Monitoring and Enforcement

Activity in violation of the “Prohibited Uses” above shall be deemed a material breach of these Terms and may violate applicable law. If Saint Croix learns of any such activity or any other activity prohibited by these Terms, Saint Croix may immediately and without notice or liability terminate your access to and use of the Site, including any accounts you have created, and may pursue any and all legal and/or equitable remedies available in connection with such activity.

Saint Croix may otherwise take actions to police the content and use of the Site, including removing or refusing to post any user content; taking any action we deem necessary in connection with use or any user content (including where we believe any such content violates these Terms or the intellectual property rights of Saint Croix or any third party); disclosing your identity and/or your User Content to any third party alleging that Your Content violates their intellectual property, privacy, or other rights; and taking any other action we deem appropriate under the circumstances.

Without limiting the foregoing, Saint Croix has the right to cooperate fully with law enforcement or court orders requesting or directing us to disclose the identity or other information of any user of the Site. YOU HEREBY WAIVE AND HOLD HARMLESS SAINT CROIX AND ITS AFFILIATES, LICENSEES, SERVICE PROVIDERS, SUCCESSORS, AND ASSIGNS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING OR AS A RESULT OF ITS INVESTIGATIONS AND FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

While we do our best to maintain the quality of the Site, Saint Croix does not undertake to review all material before it is posted to the Site and cannot guarantee prompt removal of objectionable material after it has been posted. We assume no liability or responsibility for any act or omission regarding transmissions, communications, or content provided by any user or third party.

Links from / to Other Sites

You may only link to the Site if you do so in a way that (i) is fair and legal and will not damage our reputation and (ii) does not, unless we’ve provided prior written consent, suggest any association with or endorsement or support by Saint Croix. Any website from which you link must comply with the content standards described in “Intellectual Property and Content” above.

Links to websites maintained by third parties are provided for convenience only. Saint Croix does not control the content of those websites and accepts no responsibility or liability for any loss or damage that may arise from your use of such websites. Access to such websites is at your own risk and, if applicable, subject to the terms thereof as posted and maintained by the applicable third party.

Geographic Restrictions

Saint Croix is proudly based in Minnesota, United States. We make no promises as to the appropriateness of the Site, the Products, or any Product Content outside of the United States. Access to the Site may not be legal from within certain countries. If you are accessing or using the Site from outside the United States, you do so on your own initiative and are responsible for compliance with US and local law.

Disclaimer and Limitations of Liability

SAINT CROIX MAKES NO REPRESENTATIONS, WARRANTIES, OR PROMISES WHATSOEVER WITH RESPECT TO THE SITE OR ANY LINKED SITE OR ITS OR THEIR CONTENT, INCLUDING THE PRODUCT CONTENT, YOUR CONTENT, CONTENT OF OTHER USERS, OR OTHER INFORMATION AND MATERIALS ON THE SITE OR THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY SUCH CONTENT, INFORMATION, OR MATERIALS. FURTHER, SAINT CROIX DOES NOT REPRESENT, WARRANT, OR OTHERWISE PROMISE THAT YOUR ACCESS TO OR USE OF THE SITE OR ANY LINKED SITE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR ANY LINKED SITE IS FREE OF COMPUTER VIRUSES OR OTHER HARMFUL COMPONENTS. NEITHER SAINT CROIX NOR ANY OF ITS AFFILIATES OR ITS AND THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, DIRECTORS, SUCCESSORS, OR ASSIGNS SHALL BE LIABLE TO ANY PARTY (REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, OR OTHERWISE) IN EXCESS OF $100. The foregoing limitation of liability applies notwithstanding the failure of any remedy of its essential purpose. The foregoing limitation does not, however, apply to liability resulting from Saint Croix’s gross negligence or misconduct, nor does it affect any liability which cannot be excluded or limited under applicable law.

Indemnification

You shall defend, indemnify, and hold harmless Saint Croix and its affiliates and its and their licensors, service providers, employees, agents, officers, directors, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees and court costs) arising out of or relating to your violation of these Terms or your access to or use of the Site, including (without limitation) any of Your Content.

Governing Law and Dispute Resolution

All matters relating to the Site and these Terms, and any dispute or claim arising therefrom or relating thereto, shall be governed by and construed in accordance with the internal laws of the State of Minnesota without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, dispute, or proceeding arising out of, or related to, these Terms or the Site shall be instituted exclusively in the federal courts of the United States or the courts of the State of Minnesota, in each case located in Minneapolis, Minnesota, although Saint Croix retains the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Waiver and Severability

No waiver by Saint Croix of any term or condition in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure by Saint Croix to assert a claim or cause of action under a term or condition in these Terms shall not constitute a waiver of such term or condition.

If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be deemed deleted or limited to the minimum extent, and the remainder of these Terms will continue in full force and effect without modification.

Entire Agreement

These Terms, together with the Privacy Notice, constitute the sole and entire agreement between you and Saint Croix with respect to the Site, including the Products and Product Content, and supersede all prior and contemporaneous agreements, understandings, representations, and warranties, both written and oral, with respect thereto.

Changes to these Terms

These Terms were last updated on August 20, 2025. Saint Croix may modify these terms from time to time, such modifications to take effect immediately upon posting to this page (or to any successor page). Your continued use of the Site after such posting shall constitute your consent to the modifications. We recommend that you check back to this page (or its successors) frequently to ensure you are aware of changes.
